What does it mean?
SAFE stands for Simple Agreement for Future Equity. It appeared in the United States in 2013 and spread quickly at early stages because it is simpler and cheaper than selling shares directly.
It is not a loan. There is no interest and no repayment date, and the investor does not get shares straight away.
How does it work?
The investor pays now, without fixing the company's valuation at that point. When the company later raises a priced round, the SAFE converts into shares.
Most SAFEs include terms that reward the early investor for taking more risk: a valuation cap, the highest valuation at which their money converts, and a discount on the share price paid by new investors.
Why does it matter?
A SAFE saves time and legal costs and puts off the hard conversation about valuation until the company has clearer numbers. But it was designed for a particular legal system and does not work the same way everywhere, and stacking several SAFEs can shrink the founders' share at conversion more than they expect.
In the Syrian context
According to AoSEn's reading of the Aram Lab and Riyada+ investment report 2025-2026, Syrian law does not recognise some common investment instruments such as the SAFE, so many companies set up a legal entity outside Syria so that investors can invest.
Example
A Syrian team that founded a delivery logistics company, with its legal entity registered abroad, raises $30,000 from an investor on a SAFE with a $600,000 valuation cap. A year later the company raises a round at a $1 million valuation, and the investor's money converts at the cap, giving them about 5% instead of 3%.
Common questions
Is a SAFE a loan?
No. It carries no interest and no repayment date. It converts into shares at a later funding round or if the company is sold.
What is the difference between a SAFE and a convertible note?
Both turn into shares later. A convertible note is debt, with interest and a maturity date; a SAFE is not debt. Before signing either, talk to a qualified lawyer.
What is a valuation cap in a SAFE?
It is the highest valuation used to convert the investor's money into shares. If the next round is priced above the cap, their money converts at the cap, so they get a larger share.
